Terms of Service

1. Agreement to Terms

By accessing or using any services provided by BreederHQ LLC ("BreederHQ," "we," "us," or "our"), including but not limited to the BreederHQ platform, marketplace, and client portal (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Services.

BreederHQ LLC is a Kansas limited liability company.

Capitalized terms used in these Terms have the meanings given in the BreederHQ Legal Definitions Schedule, which is incorporated into these Terms by reference.


1A. Geographic Availability

1A.1 Current Service Area

The Services are currently available to users located in the United States only. BreederHQ reserves the right to expand or restrict its service area at any time, at its sole discretion.

1A.2 International Access

Users outside the United States may browse public marketplace listings but may not create accounts, complete transactions, or access authenticated features of the Services. BreederHQ may offer an international waitlist to notify interested users when the Services become available in their region. Joining the waitlist does not create any obligation on the part of BreederHQ to expand into any specific country or region.

1A.3 User Compliance

Users are responsible for ensuring their use of the Services complies with all applicable laws in their jurisdiction. The availability of the Services in a given region does not constitute an offer or solicitation in any jurisdiction where such offer or solicitation would be unlawful.


2. Nature of the Platform

2.1 Technology Platform Only

BreederHQ is a technology platform that provides tools and infrastructure enabling animal breeders and animal-service professionals ("Providers") to manage their operations and connect with potential buyers ("Buyers"). BreederHQ is not a party to any transaction between Providers and Buyers.

2.2 No Agency or Brokerage

BreederHQ:

  • Does NOT sell animals or services;
  • Does NOT act as a broker, agent, or intermediary in transactions;
  • Does NOT provide escrow services;
  • Does NOT process, hold, or control payments between parties (payments are handled by a third-party payment processor as described in the Marketplace Transaction Terms);
  • Does NOT guarantee, warrant, or certify any animals, services, or transactions;
  • Does NOT verify, endorse, or take responsibility for Provider listings, claims, or representations, except as expressly limited by §2.5 (Third-Party Registry Passthrough) and §2.6 (Third-Party Identity Verification Passthrough);
  • Does NOT evaluate, validate, or warrant the authenticity, currency, or contents of any document any Provider uploads through the Services, regardless of whether such document is displayed publicly or linked from a Provider listing; and
  • Does NOT broker, recommend, evaluate, hold, escrow, verify, or facilitate any insurance coverage of any Provider; the maintenance of any insurance coverage by a Provider is solely the Provider's independent legal responsibility under applicable law.

2.3 Direct Party Transactions

All transactions conducted through or in connection with the Services are directly between the Provider and the Buyer. BreederHQ merely provides the technological infrastructure to facilitate communication and listing management.

2.4 Meaning of "Verification" on the Services

Except as expressly stated in a Third-Party Registry Passthrough display under §2.5 or a Third-Party Identity Verification Passthrough display under §2.6, BreederHQ does not "verify," "vet," "certify," "endorse," "screen," "approve," "validate," or "warrant" any Provider, Provider claim, Provider credential, Provider document, or animal listed on the Services. Where the Services display any badge, indicator, or descriptor concerning a Provider, the display reflects (a) facts about the Provider's account history on the Services (such as date of account creation, response time to Buyer inquiries, dispute history), (b) the Provider's own representations and uploaded materials, (c) a Third-Party Identity Verification Passthrough as defined in §2.6, or (d) a Third-Party Registry Passthrough as defined in §2.5. No such badge, indicator, or descriptor constitutes BreederHQ's evaluation, endorsement, or warranty of the Provider's identity (except as confirmed by a Third-Party Identity Verification Provider under §2.6), competence, fitness, qualifications, character, professional credentials, insurance status, licensing status, or the accuracy or authenticity of any Provider-uploaded document.

2.5 Third-Party Registry Passthrough

Where a public third-party registry operated by an issuing body (such as the American Farrier's Association, American Kennel Club, Orthopedic Foundation for Animals, or a state veterinary licensing board) maintains a publicly searchable record and returns a matching record for a Provider's Credential Attestation, BreederHQ may display an indicator labeled "Confirmed via [registry name] registry" together with a hyperlink to the source record and a timestamp showing the date of BreederHQ's query. Such display means only that, as of the timestamp shown adjacent to the indicator, the named registry returned a matching record in response to BreederHQ's query. BreederHQ does not undertake any duty to monitor the named registry for subsequent changes, withdrawals, expirations, or amendments. The consumer is directed to follow the hyperlink to the registry's source record as the authoritative source. If BreederHQ ceases to display a passthrough indicator, no inference is to be drawn as to the Provider's standing with the registry.

2.6 Third-Party Identity Verification Passthrough

Where a Third-Party Identity Verification Provider (as of the effective date of these Terms, Stripe Identity, operated by Stripe, Inc.) returns a successful identity verification for a User, BreederHQ may display an indicator labeled "Identity confirmed via [provider name]" together with the date of the verification. Such display means only that, as of the date shown, the named Third-Party Identity Verification Provider returned a successful verification in response to BreederHQ's request. The identity verification is performed by the Third-Party Identity Verification Provider in accordance with that provider's procedures, terms, and applicable law; BreederHQ does not itself perform the identity verification. BreederHQ does not undertake any duty to monitor the Third-Party Identity Verification Provider for subsequent changes to the User's identity-verification status. If BreederHQ ceases to display an identity-verification passthrough indicator, no inference is to be drawn as to the User's standing with the Third-Party Identity Verification Provider.


3. User Responsibilities

3.1 Provider Responsibilities

Providers are solely responsible for:

  • Accuracy and truthfulness of all listing information;
  • Compliance with all applicable federal, state, and local laws regarding animal breeding, sales, welfare, and any services the Provider offers;
  • Health, welfare, and condition of all animals in the Provider's care;
  • Fulfillment of all commitments made to Buyers;
  • Handling refunds, disputes, and returns directly with Buyers;
  • Obtaining and maintaining all licenses, permits, certifications, and qualifications required by applicable law for the Provider's operations, profession, and jurisdiction;
  • Maintaining all insurance coverage required by applicable federal, state, and local law for the Provider's operations, profession, and jurisdiction; BreederHQ does not impose, require, evaluate, verify, hold, broker, or facilitate any such insurance, and Provider's compliance with applicable insurance law is solely the Provider's independent legal responsibility;
  • Tax reporting and compliance.

3.2 Buyer Responsibilities

Buyers are solely responsible for:

  • Conducting independent due diligence on Providers, animals, and services before entering into any Transaction;
  • Independently verifying all claims, certifications, credentials, and representations made by Providers, including by contacting the relevant issuing body, registry, or licensing authority where the Buyer wishes to confirm a credential;
  • Understanding and complying with applicable laws regarding animal acquisition, animal possession, and the receipt of services in the Buyer's jurisdiction;
  • Direct communication and negotiation with Providers;
  • Payment arrangements made directly with Providers;
  • Arranging transportation and receipt of animals or services.

3.3 Provider Attestations Regarding Credentials and Uploaded Documents

A Provider may, through the Services, attest to professional credentials (including but not limited to certifications, licenses, accreditations, memberships, and continuing-education status) and may upload Supporting Documentation in connection with such attestations. By making any such attestation or uploading any such document, the Provider represents and warrants that:

  • the credential is currently held by the Provider and is in good standing with the issuing body as of the attestation date;
  • the uploaded document is authentic, unaltered, and was issued to the Provider by the named issuing body;
  • the Provider has not made any false statement to the issuing body or to BreederHQ in connection with the credential; and
  • the Provider will promptly update or withdraw the attestation and request removal of the uploaded document if the credential lapses, is suspended, is revoked, or is otherwise no longer accurate.

BreederHQ does not open, read, validate, compare, evaluate, or vouch for any uploaded document. Display of an uploaded document or a link to it on the Services is not a representation by BreederHQ as to the document's authenticity, currency, or content. A Provider's false attestation under this section constitutes a material breach of the User Agreement and a violation of the Acceptable Use Policy.

3.4 Buyer Acknowledgment Regarding Displayed Credentials and Documents

A Buyer who views or relies on any credential, badge, indicator, document, or descriptor displayed in connection with a Provider's profile or listing acknowledges and agrees that:

  • the credential or document was submitted by the Provider, not by BreederHQ;
  • BreederHQ has not opened, read, evaluated, compared, or validated any such document or claim, except as expressly limited by §2.5 (Third-Party Registry Passthrough) and §2.6 (Third-Party Identity Verification Passthrough);
  • the Buyer is solely responsible for independently confirming the Provider's credentials with the issuing body before relying on the credential for any decision;
  • the Buyer's reliance on a displayed credential or document is at the Buyer's own risk; and
  • BreederHQ disclaims liability for any harm arising from a Provider's misrepresentation of credentials or the inauthenticity of any uploaded document.

4. Disclaimer of Liability

4.1 No Liability for Transactions

BreederHQ expressly disclaims all liability for:

  • Any losses, damages, injuries, or deaths arising from transactions between Providers and Buyers;
  • The condition, health, genetics, temperament, suitability, or behavior of any animal;
  • Misrepresentations, fraud, or deceptive practices by any user;
  • Non-delivery, late delivery, or failed transactions;
  • Disputes between Providers and Buyers;
  • Any actions or omissions of Providers or Buyers, including the rendering of services by a Service Provider;
  • The authenticity, currency, or accuracy of any Credential Attestation, Supporting Documentation, or any document a Provider uploads through the Services;
  • The lapse, suspension, revocation, or expiration of any credential, license, certification, or accreditation a Provider has attested to;
  • The lack of, lapse in, or misrepresentation of any insurance coverage a Provider holds or is required to hold under applicable law.

4.2 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BREEDERHQ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

4.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREEDERHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR ANY TRANSACTION FACILITATED THROUGH THE SERVICES.


5. Indemnification

You agree to indemnify, defend, and hold harmless BreederHQ, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services;
  • Your violation of these Terms or any other User Agreement;
  • Your violation of any applicable law;
  • Any transaction you enter into with another User;
  • Any content you submit to the Services, including any AI-Assisted Content you have accepted for display;
  • Any false attestation by you under §3.3, or the inauthenticity, alteration, expiration, revocation, or misrepresentation of any document you upload in connection with a Credential Attestation.

6. Account Registration and Security

6.1 Account Creation

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

6.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify BreederHQ of any unauthorized use of your account.


7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose;
  • Post false, misleading, or fraudulent content;
  • Harass, threaten, or harm other users;
  • Attempt to gain unauthorized access to the Services or other users' accounts;
  • Interfere with or disrupt the Services;
  • Violate any applicable laws or regulations;
  • Engage in any activity that could damage BreederHQ's reputation or business.

Your use of the Services is also governed by the BreederHQ Acceptable Use Policy, which is incorporated into these Terms by reference.


7A. AI-Powered Features

7A.1 AI Assistant and Scout AI

The Services include optional AI-powered features ("AI Features"), including the AI Assistant and Scout AI, that use third-party artificial intelligence technology to answer questions about your data and the platform. AI Features are available to users with eligible subscription plans and require explicit consent before first use.

7A.2 Data Processing Disclosure

When you use AI Features, your queries and relevant summaries of your platform data are transmitted to our AI service provider, Anthropic, for processing. By consenting to use AI Features, you acknowledge and accept this data processing. See our Privacy Policy (Section 4.4) for details about what data is sent, what is not sent, and how Anthropic handles your data.

7A.3 AI-Generated Content Disclaimer

AI-generated responses are provided for informational purposes only and should not be relied upon as professional advice, including but not limited to veterinary, legal, financial, or breeding advice. BreederHQ does not guarantee the accuracy, completeness, or suitability of AI-generated content. You should always verify AI-generated information independently and consult qualified professionals for important decisions regarding animal health, breeding, and business operations.

7A.4 AI-Assisted Content Displayed on the Services

Where the Services include features that generate text, images, or other content the Provider may publish to the Services (including listing descriptions, profile copy, or marketplace content), the Provider must review the generated content, edit it as desired, and explicitly accept the content as the Provider's own before publication. Content the Provider has accepted for publication constitutes Provider Content for all purposes under the User Agreements, and the Provider is solely responsible for its accuracy and compliance with the Acceptable Use Policy. A Provider may not publish AI-generated content the Provider has not reviewed and accepted.

7A.5 AI Feature Controls

You have the following controls over AI Features:

  • Organization administrators may disable AI Features for all users in their organization at any time through Settings;
  • Individual users may delete their AI interaction history at any time through the Help Center;
  • AI Features require explicit consent before first use; you may withdraw consent by contacting us;
  • Disabling AI Features does not affect any other functionality of the Services.

7B. Third-Party Social Media Integration

7B.1 No Auto-Publishing to Third-Party Platforms

The Services include features that generate platform-tuned text and image content the Provider may copy and paste to their own third-party social media accounts, including but not limited to Facebook and Instagram (collectively, "Third-Party Platforms"). BreederHQ does not log into, authenticate against, store credentials for, or publish on the Provider's behalf to any Third-Party Platform. Any post that appears on a Third-Party Platform was placed there by the Provider through manual copy-and-paste action on their own account.

7B.2 Provider Responsibility for Posted Content

The Provider is solely responsible for any content the Provider copies, edits, or posts to a Third-Party Platform, including ensuring the content complies with that platform's terms of service, community standards, and content policies. The Provider acknowledges that Third-Party Platforms including Meta Platforms, Inc. ("Meta") restrict content related to the sale or transfer of live animals between private individuals, and that automated enforcement of those restrictions has resulted in account, Page, and content removals affecting many breeders.

7B.3 No Guarantee of Compliance or Account Safety

BreederHQ tunes generated content using guidelines designed to reduce the risk of automated enforcement on Third-Party Platforms, but no wording, image, or content is guaranteed to comply with any Third-Party Platform's policies or to avoid enforcement action. Third-Party Platform policies and enforcement systems are operated, maintained, and modified solely by those platforms and may change without notice.

7B.4 No Liability for Third-Party Platform Actions

BreederHQ expressly disclaims all liability for:

  • Removal, suspension, restriction, or termination of any Provider account, Page, profile, or content on any Third-Party Platform;
  • Loss of followers, reach, engagement, or business goodwill on any Third-Party Platform;
  • Changes to Third-Party Platform terms, policies, or enforcement systems;
  • Any direct, indirect, incidental, or consequential damages arising from a Provider's use of generated content on a Third-Party Platform.

7B.5 Acknowledgment

The first time a Provider chooses to generate content for a Third-Party Platform, BreederHQ presents a one-time disclosure summarizing the matters in this Section 7B. By continuing past that disclosure and by using the Services to generate content for Third-Party Platforms, the Provider acknowledges and accepts the responsibilities and disclaimers set forth in this Section.


8. Content and Intellectual Property

8.1 User Content

You retain ownership of content you submit to the Services. By submitting content, you grant BreederHQ a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Services.

8.2 BreederHQ Intellectual Property

The Services, including all software, designs, text, and graphics, are owned by BreederHQ and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.


9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using account termination features in the Services.

9.2 Termination by BreederHQ

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include violations of these Terms, fraudulent activity, or extended periods of inactivity.

9.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.


10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law provisions.

10.2 Arbitration; Small-Claims Carve-Out

Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Kansas. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may bring an individual claim in small claims court of the party's home state or jurisdiction for any matter within that court's jurisdictional limits, in lieu of arbitration.

10.3 Class Action Waiver; Preservation of Public Injunctive Relief

You agree to resolve disputes with BreederHQ on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, this Section 10.3 does not waive (a) any right to seek public injunctive relief on behalf of the general public to the extent such waiver is unenforceable under applicable law (including without limitation California Civil Code §3513 and the rule in McGill v. Citibank, 393 P.3d 85 (Cal. 2017)), or (b) any statutory remedy that, under applicable law, cannot be waived as a condition of using a consumer service. If a court of competent jurisdiction determines that the waiver in this Section 10.3 is unenforceable as to any specific claim, that claim shall be severed and proceed in court, while all other claims shall remain subject to arbitration on an individual basis.

10.4 Venue

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Kansas, subject to the small-claims carve-out in §10.2.

10.5 State-Specific Provisions

Where applicable law of your state of residence requires terms different from those above, the following state-specific provisions apply:

(a) California Residents. The class-action waiver in §10.3 does not apply to claims for public injunctive relief brought on behalf of the general public under California law (including without limitation McGill v. Citibank, 393 P.3d 85 (Cal. 2017), and California Civil Code §3513). California Civil Code §1789.3 disclosures: BreederHQ LLC's contact for complaints is legal@breederhq.com. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

(b) New Jersey Residents. The limitation of liability and indemnification clauses do not apply to the extent they would be unenforceable under New Jersey law.

(c) Massachusetts Residents. The class-action waiver does not apply to the extent that, under Massachusetts General Laws Chapter 93A or other applicable Massachusetts law, the right cannot be waived as a condition of using a consumer service.

(d) Other States. Where this Agreement is inconsistent with mandatory consumer-protection law in your state, the mandatory law of your state controls, and the inconsistent provision of this Agreement is severed and shall not affect the enforceability of the remaining provisions.


11. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.


12. Modifications to Terms

BreederHQ may modify these Terms from time to time. For non-material changes, BreederHQ will notify you by posting the updated Terms and updating the "Effective Date." For material changes (defined as changes that (a) materially expand User obligations, (b) materially narrow User rights or remedies, (c) materially change the scope of BreederHQ's disclaimers or limitations of liability, (d) materially change Provider compensation, fees, or payout terms, or (e) materially change the dispute resolution forum or governing law), BreederHQ will provide at least thirty (30) days' advance written notice by email to the address on file and by in-product notification, and your continued use of the Services after the effective date constitutes acceptance. A User who does not accept a material change may terminate their account before the effective date without penalty other than fulfillment of any pre-existing obligation under another User Agreement (such as a pending Marketplace transaction or active Provider subscription term).


13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, the Acceptable Use Policy, the Breeder/Seller Agreement (where applicable), the Service Provider Agreement (where applicable), the Buyer Terms (where applicable), the Marketplace Transaction Terms (where applicable), and the Legal Definitions Schedule, constitute the entire agreement between you and BreederHQ regarding the Services and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

13.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. BreederHQ may assign these Terms without restriction.

13.5 Document Hierarchy and Order of Precedence

The parties' relationship is governed exclusively by (in order of precedence): (a) these Terms; (b) the BreederHQ Privacy Policy, the Acceptable Use Policy, the Buyer Terms (if applicable), the Breeder/Seller Agreement (if applicable), the Service Provider Agreement (if applicable), the Marketplace Transaction Terms (if applicable), and the Legal Definitions Schedule, each as incorporated by reference; and (c) any agreement directly negotiated and signed in writing between a User and BreederHQ. Marketing copy, product help articles, in-product user-interface labels, API response field names and values, schema.org or other structured-data markup, third-party-site embeddable widget displays, social-media posts, and any other communication from BreederHQ that is not enumerated above are illustrative only, are not part of these Terms, and do not modify, expand, or contradict the rights and obligations of the parties under these Terms. In the event of any inconsistency between a communication described in this paragraph and the documents enumerated in (a) through (c), the documents enumerated in (a) through (c) control. No User shall be entitled to rely on any communication described in this paragraph as a representation of fact, warranty, endorsement, or undertaking by BreederHQ.
